Equity management

dCompany gives you a complete, connected platform for managing shareholders, recording transactions, and producing official reports — all in one place.

The shareholder register

Open Shareholder register from the top navigation to access the full register for a company. The Dashboard tab gives you an at-a-glance summary: total shares, share capital, number of shareholders, number of share classes, an ownership breakdown chart, and recent transactions.

From the dashboard you can navigate to any part of the register using the sub-tabs:

  • Shareholders — the live shareholder list with ownership percentage, number of votes, and voting power
  • Transactions — the full transaction history
  • Share classes — your share classes with capital and voting rights per class
  • Financial instruments — convertible loans, warrants, and other instruments
  • Cap Table — a consolidated view of fully diluted ownership
  • Commitments — committed but not yet called capital
  • Shareholder register statement — the official statement, ready to download or submit
  • Beneficial owners — ultimate beneficial owner reporting

Shareholders

The Shareholders tab shows all current shareholders. Use the Current filter to see the live register, or switch to Total overview to include historical holders. You can Add, Invite, Export, or Edit all shareholders from here.

Each row shows the shareholder's name, national ID or organisation number, number of shares, ownership percentage, number of votes, and voting power.

Transactions

Every change to the register is recorded as a transaction. Click Register transaction to log a new one — the dropdown covers all standard types: issue new shares, reduction of nominal value, transfer, group contribution, reverse split, and more.

The transaction list shows each entry's type, description, transaction date, and last updated date.

Share classes

Go to Share classes to see all share classes and their capital. Each class card shows the number of shares, share capital in NOK, and voting rights (for example, 1 A-share has 1 voting right, 1 B-share has 0.5). Click + New share class to add a class.

Archive and messaging

The Archive module keeps three separate archives: Board archive, Shareholder archive, and Admin archive. Documents you upload to the Shareholder archive are automatically made available to your shareholders.

Use Messages to send a message directly to all shareholders or all board members. Compose in a rich text editor and send in one step.

Document robot

The Document robot connects corporate decision-making directly to the register. Select the changes you want to process — share capital increases, board elections, changes to articles of association, powers of attorney, and more — and dCompany generates the correct documents and, where applicable, updates the register automatically.

Managing groups of companies

If you manage multiple companies, the cross-company workspace gives you a single view across all of them. The Shareholder register statement tab at group level lets you pull official statements for every company in your portfolio without opening each one individually.
