What this covers

Section 6-11 a of the Norwegian Companies Act (Aksjeloven) sets gender balance requirements for boards of Norwegian AS companies with either total operating and financial income above NOK 50m, or more than 30 employees. The rules are phased in through 1 July 2028: NOK 100m revenue by 31 December 2024, then 50+ employees, 30+ employees, and NOK 70m revenue thresholds, ending in the full 50m/30-employees rule on 1 July 2028.

Composition rules cap the number of board members of the same legal gender based on total board size (3–4 members: max 2 same-gender; 5–6: max 3; 7: max 4; 8: max 5; 9+: max 60%). Same rules apply to alternates and, separately, to employee-elected representatives. Legal gender is pulled from the Norwegian National Registry (Folkeregisteret).
